These terms apply to your use of this website and to services provided by ADE Developers.
Projects
Each project is governed by a written proposal or agreement covering scope, timeline, price and payment milestones. Where that agreement differs from these terms, the agreement wins.
Payments
Invoices are payable as stated in your proposal. Work may pause while payments are overdue.
Our code stays ours
We do not sell our source code. All software, source code, scripts, designs, databases and tools we build or supply, including our VTU, fintech, wallet and app platforms, remain the property of ADE Developers.
When you pay for a project or product, you get a licence to use the software for your business for as long as your account is in good standing. The licence does not give you the source code, and you may not copy, resell, sublicense, reverse-engineer or share our code or scripts with anyone else.
Any exception, such as a full source-code purchase, must be agreed in a separate written contract signed by ADE Developers.
We may show the finished work in our portfolio unless you ask us not to.
Acceptable use
You must use our software and platforms only for lawful business. You may not use them, or allow anyone else to use them, for:
- fraud, scams, Ponzi or pyramid schemes, or any form of deception;
- money laundering, terrorist financing, or moving the proceeds of crime;
- impersonating banks, telecoms or other businesses, phishing, or collecting people's data without consent;
- selling illegal goods or services, or any activity that breaks Nigerian law or the rules of our payment and telecom partners.
If we believe our software is being used for any of these, we may suspend or terminate your service immediately without refund, keep relevant records, and report the activity to the appropriate authorities, including the NFIU, EFCC and law enforcement, as the law requires.
Liability
Our total liability for any claim is limited to the amount you paid us for the service concerned in the three months before the claim.
